The Oil & Gas Asset Clearinghouse (“The Clearinghouse”), provides Internet-enabled technical and brokerage services for the acquisition and divestiture of oil and gas properties. With offices located in both Houston, Texas and Calgary, Alberta, The Clearinghouse offers a complete line of evaluation, technical and marketing services that can be customized to meet the specific needs of our clients.

Some of the marketing services provided by The Clearinghouse include:

· Hybrid Live Floor/Internet Auctions - Known as “Selective Offerings”, our live auctions accept simultaneous, real-time floor and Internet bids and are generally utilized for geographically diverse working and overriding royalties;

· Mid-Value Negotiated (“MVN”) Transactions - Our specialized MVN process is utilized primarily for asset packages which contain a significant upside component and range in value from $5-50 million. The MVN process combines many of the most positive attributes of both our auction process and sealed bid negotiated transaction processes;

· Exclusively Online Auctions - An Internet only bidding process which is particularly effective for royalties, overriding royalties and mineral interests;

· Electronic Data Rooms (EDR) - Evaluation data and revisions for both auction properties and MVN packages are made available via the Internet and on CD-ROM;


· Physical Data Room Administration - All assets marketed by The Clearinghouse are fully supported with five highly organized, traditional data rooms featuring presentations of all components of value.

The Clearinghouse is the largest oil and gas property auction marketing firm in the world and is widely recognized for creating the industry’s primary form of liquidity. Our Selective Offerings provide an extremely robust, short-cycle divestment mechanism for fractionalized ownership interests. The company consistently holds the leading and dominant share of the oil and gas property auction market and maintains records for the largest single-day open outcry auction, the largest single floor and Internet lots successfully auctioned and accounts for the broad majority of all Internet-enabled auction volumes.

Our MVN transaction process is a new, innovative marketing technique that bridges the gap between the auction process and a full negotiated and advisory process. MVN transactions are best suited for asset packages that are geologically concentrated, have a 30% or greater upside value component and range in value from $5-50 million. This process combines the broad market exposure of our auction process with thorough technical reviews, comprehensive data room support, personalized presentations and direct marketing to targeted potential buyers.

KENNETH R. OLIVE, JR.
President and Chief Executive Officer

Ken Olive currently serves as President and Chief Executive Officer of The Oil & Gas Asset Clearinghouse, which he founded in 1993. Since its inception, The Clearinghouse has closed $2.7 Billion in 120 auction sales and $2.5 Billion in 119 negotiated transactions. The firm has established itself as the only transaction advisor in the world offering complete transaction advisory services in every venue - live and Internet auctions, mid-value negotiated sales, and fully engineered negotiated transactions.

Ken is a member of IPAA, AAPL, TIPRO, OIPA and HAPL. He is currently a Regional Board Member for IPAA. In 1997 he was selected as Entrepreneur of the Year in Energy and Energy Services by Ernst and Young’s Entrepreneur of the Year program. He has also been named Outstanding Landman by HAPL and received the APEX award from AAPL for professional excellence and his entrepreneurial spirit.



RONALD K. BARNES
Senior Vice President - Business Development
Mr. Barnes joined The Clearinghouse in 1998 and is responsible for managing the business development and marketing efforts for all of The Clearinghouse’s business. Ron is a 1976 graduate of the University of Oklahoma with a BBA in Petroleum Land Management. He spent ten years with Tenneco Oil Company in various land and management positions where he was involved in all phases of land work. He subsequently worked ten years for Tenneco Energy in various management positions, including natural gas transportation, marketing and trading. Mr. Barnes is an SEC broker dealer registered representative holding Series 63 and 22 licensing.

Mr. Barnes is an active member in numerous industry organizations such as the American Association of Professional Landmen, Houston Association of Professional Landmen, North Houston Association of Professional Landmen, Independent Petroleum Association of America, Oklahoma Independent Petroleum Association and Texas Independent Producers and Royalty Owners Association.



WILLIAM KEITH GIBBS,
CPL Vice President-Land
Mr. Gibbs began his career in 1974 working as a legal clerk/title examiner in South Texas. He received his BBA in Finance in 1978 from the University of Texas at Austin. He has more than 22 years of land and managerial experience with a number of independent oil and gas companies. Mr. Gibbs is a Certified Professional Landman, a member of the American Association of Professional Landmen, and the Houston Association of Professional Landmen.

DEBORAH C. RADFORD
Office Manager
Ms. Radford has held varying positions of administrative responsibility since 1981 and was instrumental in the formation and development of THE CLEARINGHOUSE. Debbie is presently responsible for seller coordination, sale brochure production, data package production and distribution, administration, sale site coordination and settlements.

MARK ROACH
Vice President - Technical Resources
Mark began his career with Mobil in 1986. He worked in planning/special projects, as a reservoir engineer (Hugoton Field), and as an operations engineer (Illinois Basin). Mark continued his career with Powers Petroleum Consultants, Snyder Oil, and as an independent consultant. His experience includes marketing oil and gas properties, supply and demand studies, reserve evaluations for A&D, expert witness support for litigation, and development/application of pressure transient analysis technology. Mark led industry engineering workshops and implemented engineering systems in the US, Canada, Europe, Indonesia, the Middle East and South America for surveillance of a wide variety of projects including CO2, waterfloods, as well as conventional oil and gas exploitation projects. Mark also advised Landmark and Geoquest in the development of petroleum engineering software and training programs. Mark joined Clearinghouse in 2000 as a Senior Reservoir Engineer, became Technical Resources Manager in 2002 and assumed his present position in 2003. Mark has overseen and managed evaluations in every U.S. basin.

Mark has a B.S. in Petroleum Engineering from the University of Missouri-Rolla (1986) and is a member of the Society of Petroleum Engineers.

LEAH D. STEVENS
Land Manager
Ms. Stevens received her BBA in Petroleum Land Management from the University of Texas in May 1985. She began her career as a Landman in October 1985, and has continued assembling fifteen years of land and legal experience with emphasis on due diligence and title matters throughout the United States. Ms. Stevens continued her higher education and received her J.D. Degree from South Texas College of Law in May 1992. Ms. Stevens is a member of the State Bar of Texas and Houston Association of Professional Landmen.

ROBERT L. DAWSON
Manager Client Relations - Mid Continent Region
Mr. Dawson received his BS in Sociology from Oklahoma State University. He was honorably discharged from the U.S. Marine Corps in 1971. He had over twelve years of successful sales and management experience prior to entering the oil and gas industry. His last fourteen years of professional experience have been within the petroleum industry, ten of which involved the marketing of oil and gas divestitures. Mr. Dawson has been a SEC broker dealer registered representative holding Series 63 and 22 licensing since 1986. Mr. Dawson is an active member of the Oklahoma Independent Petroleum Association, The Wildcatters' Club of Oklahoma, Kansas Independent Oil & Gas Association, Oklahoma City Association of Petroleum Landmen and The Tulsa Association of Petroleum Landmen.

JIM HENRY
Manager Client Relations
Mr. Henry is a 1975 graduate of Texas Tech University with a BBA degree in Marketing. He began his career as a Petroleum Landman with Union Oil Company of California in both Houston, TX and Lafayette, LA. He subsequently worked as a principal in the Petroleum Land Management firm of Henry and Sandoz, Inc., the General Manager of Vermilion Bay Land Company, a wholly owned subsidiary of Crystal Oil Company with significant fee holdings in South Louisiana, and the Land Manager of Rozel Energy, LLC an exploration company focused on the Shelf Area of the Gulf of Mexico.

Prior to joining the Clearinghouse, Mr. Henry formed Henry Energy Partners, LLC a group targeting deep gas projects in the coastal parishes of South Louisiana.

He has been a longstanding member and former officer of both the Lafayette Association of Petroleum Landmen and a Certified Professional Landman in the American Association of Petroleum Landmen.

JOHN R. KLEE
Manager Client Relations - Rocky Mountain Region
Mr. Klee graduated from the University of New Mexico and has more than seventeen years of land and managerial experience with several independent oil and gas companies. He is a SEC broker dealer registered representative holding Series 63 and 22 licensing. Mr. Klee is a member of the American Association of Professional Landmen, the Denver Association of Professional Landmen and is a past president of the New Mexico Land Association. He is a board member of the Independent Petroleum Association of Mountain States and serves as State Vice-President for Montana.

KEVIN R. TOWNSEND
Manager Client Relations - Southern Region
Mr. Townsend received his BS in Mechanical Engineering from the University of Texas and has sixteen years experience in the oil and gas industry. He has spent the last ten years in the areas of production optimization and formation evaluation throughout the Gulf Coast, West Texas, the Rockies and the West Coast. He is a SEC broker dealer registered representative holding Series 63 and 22 licensing. Mr. Townsend is an active member of the Society of Petroleum Engineers.

JENNIFER M. POLITO,
CPA Accounting Manager
Ms. Polito earned her BBA degree in Accounting from Texas A&M University, College Station in 1992. Ms. Polito is a Certified Public Accountant in the State of Texas and a member of the Texas A&M Former Student Association.

DAVID HORN
President - The Oil & Gas Asset Clearinghouse ULC
Dave joined The Oil & Gas Asset Clearinghouse in 2005 from EnCana Corporation where he was Managing Director of Divestitures. During his three year tenure with EnCana, Dave directed and negotiated over $3 Billion of asset and corporate divestitures. From 2000 to 2002 he held the position of Chief Landman/Land Manager for PanCanadian Petroleum. Prior to PanCanadian, Dave held the position of Director, Land and New Business from 1996 to 2000 with Altana Exploration Company and prior to Altana from 1983 to 1996 he held various land and A&D positions with Amoco Canada and Dome Petroleum. Dave is a 1983 graduate of the University of Calgary where he earned a B.A. degree in Economics. He has been an active member over the past 20 years with the Canadian Association of the Petroleum Landmen and was on the Board of Directors from 1999 to 2002. Dave is also a member of the American Association of Petroleum Landmen and is presently on the Board of Directors of the Petroleum Acquisition and Divestiture Association. .

GABRIELE GRUTZMACHER
Manager, Land and Technical Services- The Oil & Gas Asset Clearinghouse ULC
Gabe began her career in the Oil and Gas Industry in 1979 with the Hudson's Bay Oil and Gas Company where she held a variety of positions in Corporate and Administrative Accounting. Gabe continued her career with HBOG's successors Dome Petroleum and Amoco Canada where she had an opportunity to participate in various positions within the Land Department for 18 years. In 1997 she joined Gulf Canada Resources as a Contract Landman until 2001 where she took a position at PanCanadian Resources as Sr. Contract Landman and Group Lead for Contracts and Administration. Prior to joining The Oil & Gas Clearinghouse Gabe was a Sr. Contract Landman for ConocoPhillips Canada . Gabe attended the University of Calgary and is an active member of the Canadian Association of Petroleum Landmen
